PUBLIC SERVICE DELIVERY POLICY

1. General Information

Xalgorithms Foundation supports an Alliance of organizations and individuals committed to developing a free/libre/open “Internet of Rules” to advance the fairness and efficiency of commercial markets, both locally and globally. To this end, members collectively resource, conceptualize, create, promote, protect, provide and use free/libre/open principles, standards, software and networks, as public services. Xalgorithms Foundation sells memberships only; it does not provide any fee-based services. All public services provided by Xalgorithms Foundation are on a “best effort” basis under the terms of the licenses attached to the works it distributes. For more information see:

2. Role and Purpose of Xalgorithms Foundation’s Policies

The corporate policies of Xalgorithms Foundation are provided for general information only. The purpose of corporate policies in general is to reduce the potential for misunderstanding and dispute.

The legal relationship between Xalgorithms Foundation and each Member of the Xalgorithms Alliance is defined by the Xalgorithms Alliance Accession Agreement. And the legal relationship between Xalgorithms Foundation and each Person who obtains copyrighted works distributed by the Foundation is defined by the free/libre/open source licences attached to those works. In contrast, these corporate policies do not constitute a contract or a license. These corporate policies are for general guidance to anyone, and can be helpful in assisting Parties to interpret the intent of Xalgorithms Foundation in regards to any contracts or licenses it is Party to. These corporate policies can be considered enforceable only to the extent they express the considered intent of Xalgorithms Foundation, it its capacity as a not-for-profit corporation, with the expectation that any of its directors, officers, members, agents, contractors, interns, suppliers and employees know about and understand, or ought to know about and understand, their expectations, as well as the consequences of their breach.

In the absence of corporate policies, anyone could be left to make their own assumptions and set their own expectations, which can easily lead to disputes due to mis-undertandings. Thus corporate policies can help prevent disputes by more clearly detailing an organization’s intents and expectations. This in turn helps to build and maintain positive business relationships, and reduces the risk of litigation.

In the event of a disagreement or dispute, your interpretation of the corporate policies expressed by Xalgorithms Foundation should be guided by your own legal counsel or other professional advice. Xalgorithms Foundation and its affiliates and any of their respective directors, officers, members, agents, contractors, interns, suppliers and employees, cannot be held liable for any damages, losses or causes of action of any nature arising from any use of these corporate policies.

3. Xalgorithms Foundation Policy on Dispute Resolution

If Xalgorithms or any other Party considers there to be a dispute relating to any matter, respectful communication will first be pursued online or via conference call. If such communication of the Parties fails to resolve the dispute, the issues should be referred to the next level up in each Party’s organization or community. Should this not lead to a resolution, the Parties should attempt to agree on a mediator, commercial and/or volunteer. If one or more Parties prefers a commercial mediator, that would imply a commitment to cover costs in whole or in part. A selected mediator would be asked to establish interests, options and decision criteria with the Parties, and attempt to achieve mutual commitments towards resolution or accommodation. This commitment to attempt mediation first does not impinge on the rights of the Xalgorithms Foundation or of any other Party to pursue litigation at any time.

4. Public Service Delivery Locations

Public services of Xalgorithms Foundation and the wider Xalgorithms Alliance community are provided globally through electronic media at the following virtual locations:

5. Public Service Delivery Times

Public services of Xalgorithms Foundation and the wider Xalgorithms Alliance community are provided on a “best effort” basis depending on the degree of urgency agreed to by stakeholders.

6. Public Service Delivery Costs

Xalgorithms Foundation does not provide any fee-based services, except in the sense that fees are charged for membership in Xalgorithms Alliance. No fees are charged by Xalgorithms Foundation for any Person to:
• Obtain, use, re-use, refine, adapt, re-post or redistribute software created or distributed by Xalgorithms Foundation;
• Participate in online or in-person meetings led by Xalgorithms Foundation, except: meetings designed for Xalgorithms Alliance Members; and, events with general registration fees to covers costs.

7. Disclaimer of Warranty

Xalgorithms Foundation distributes works on an “as is” basis without warranties or conditions of any kind, either express or implied, including, without limitation, any warranties or conditions of title, non-infringement, mechantability, or fitness for a particular purpose. You are solely responsible for determining the appropriateness of using or redistributing the works, and you assume any risks associated with your exercise of permissions under this License.
